Objectives
Red Oak is a fast-growing, PE-backed compliance SaaS company serving the financial services sector. As we scale through acquisitions and expand our platform, our legal workload has grown significantly. We're looking for a sharp, proactive Paralegal to help manage that volume. The Paralegal will support Red Oak's legal and corporate governance needs across a wide range of activities — from contract management and corporate filings to compliance support and M&A diligence. You'll work directly with executive leadership and outside counsel to draft, redline, track and deploy a variety of documents. This is a high-visibility role with significant autonomy for someone who thrives on owning process and driving outcomes.
Responsibilities
Contract Management – External: Draft, review, and manage commercial contracts including NDAs, vendor agreements, SaaS subscription agreements, and partnership agreements. Maintain a contract repository and track key dates and renewal terms.
Contract Management – Internal: Own and maintain all employee-facing documents including Invention Assignment, AI Acceptable Use Policy, Employee Ownership Program and more. Ensure that the most recent versions are signed and saved.
Outside Counsel Coordination: Serve as the primary liaison with external legal counsel. Manage timelines, budgets, and deliverables for outsourced legal work.
Corporate Governance: Support board meeting preparation, maintain corporate records, manage entity filings, and assist with corporate housekeeping across Red Oak's entity structure.
M&A Support: Assist with due diligence for acquisitions — organizing data rooms, tracking document requests, and coordinating with outside counsel.
Compliance Support: Help maintain compliance with corporate policies, regulatory requirements, and PE reporting obligations. Support internal audits and policy updates.
Intellectual Property: Assist with trademark filings, IP portfolio management, and monitoring for potential infringement issues.
Legal Operations: Build and improve legal processes, templates, and playbooks to increase efficiency as the company scales. Identify opportunities for legal tech tools.
General Legal Support: Handle a variety of ad hoc legal and administrative tasks as needed — employment matters, insurance renewals, regulatory filings, etc.
Competencies
Experience: 5+ years of paralegal or corporate legal experience, ideally in a fast-paced tech or PE-backed environment. In-house experience strongly preferred.
AI-forward: Ideal candidate will be actively using AI tools, including workflow automation agents to ensure maximum productivity.
Education: Paralegal certificate or Bachelor's degree. A law degree is not required, and Bar admission is not required.
Corporate Legal Knowledge: Strong understanding of corporate governance, contract law, and commercial agreements. Familiarity with M&A processes is a plus.
Organizational Skills: Exceptional attention to detail and ability to manage multiple workstreams simultaneously.
Communication: Excellent written and verbal communication skills. Able to interface confidently with executives, board members, and outside counsel.
Tech Savvy: Comfortable with contract management tools, document management systems, and legal tech. Experience with CLM platforms is a plus.
Judgment: Ability to triage and prioritize legal requests, escalate appropriately, and exercise sound judgment on when to involve outside counsel.
Work Structure
This role is based at our North Austin office, with a minimum of 3 days (Tues–Thurs) in the office each week.
